Barbara Calza is since year 2000 a partner at De Berti Jacchia Franchini Forlani.

Barbara’s practice is mainly focused on corporate law, specialising in domestic and cross border M&A transactions, transfer of going concerns, joint ventures and corporate restructuring as well as on commercial contracts.

Barbara has been assisting a number of clients both national and international (in particular, US, German, Swedish, French, Belgian and English clients) in the realization of business activities in Italy. She has also been assisting clients in companies’ restructuring (mergers, de-mergers, etc.) and in joint venture transactions both with Italian and foreign partners.

Complementary and parallel with the above, she is active in drafting and negotiating commercial agreements (supply, distribution, manufacturing, licensing consultancy, etc.) as per the clients’ need.

Barbara has also gained a relevant experience in the real estate area and in the retail regulatory practice, in assisting important clients of the Firm active in the retail sector.

She has developed an in-depth knowledge of the industry sectors of the clients she has represented for many years, including retail (a Swedish group active in the sale of furniture to consumer); chemicals (an US multinational); machine manufacturing (US manufacturer).

Assisting an Italian client, owner of an Italian company active in the manufacturing and supplying of diesel engine parts for vehicles, as well as its wholly controlled foreign subsidiaries, in the negotiations connected to the sale of the entire participation of the Italian entity.

Assisted a Swedish company in the negotiations and drafting of works contracts for the renovation and refurbishing works of an hotel owned by the same in one of the most famous location on the Italian Alps. The assistance covered also the negotiations of the project agreement and of the mandate to the director of works as well as all ancillary aspects and agreements.
She further assisted the client with respect of the full renovation of a nearby building to be used as dependence for the hotel, by negotiating and drafting the relevant contracts.
